Plan Of Liquidation

Strategic Realty Trust Is Winding Up

On February 26, 2025, Strategic Realty Trust disclosed that it had completed the sale of its remaining operating assets and repayment in full of its outstanding indebtedness. The company entered into a Liquidation Services Agreement to facilitate completion of its winding up.

The company also disclosed significant general and administrative costs associated with maintaining SEC reporting obligations as a non-traded public REIT. The disclosed plan contemplated liquidation and dissolution rather than continued operation of the prior property portfolio.

Historical NAV or former portfolio value does not establish a current secondary-market value. The practical issue may instead be whether any liquidation interest, distribution, tax reporting, or administrative obligation remains outstanding.

Shareholder Records

Remaining Issues May Be Administrative Or Settlement-Related

After final asset sales and debt repayment, a shareholder should confirm that account records accurately reflect any remaining liquidation interest, distribution history, or tax reporting.

Estate representatives, trustees, and account holders may need statements, shareholder correspondence, tax documents, distribution confirmations, transfer records, and evidence of ownership registration. Any potential transfer would require confirmation that the shares remain legally and operationally transferable.

Marketability Assessment

An Active Buyer Market Should Not Be Assumed

Strategic Realty Trust’s liquidation status means that a potential private transaction cannot be evaluated like a normal sale of an operating non-traded REIT. A buyer would need to understand legal status, remaining liquidation rights, expected timing of final distributions, and unresolved liabilities or expenses.

AIL does not imply that an active buyer market exists for liquidated securities. Investors can review general non-traded REIT exit considerations or request a Confidential Investment Review to organize available records.

For general context, see AIL’s guide to how to get out of a non-traded REIT and the non-traded REIT secondary market.
